By placing an order with NTP Online Learning Ltd, you confirm that you have read, understood and agree to be bound by the terms and conditions set out below.

1.       General Terms & Conditions (Courses)

1.1.    Please read these Terms and Conditions (“Terms”, “Terms and Conditions”) carefully before purchasing a course or services from the NTP Online Learning Limited (the “Service”) operated by NTP Online Learning Limited (“us”, “we”, “our”, “NTP”, “NTP Online Learning”, “NTP Online Learning Ltd” or “Company”). (“you”, “student(s)”, “customer(s)”) refers to the purchaser(s) of the course or service.

1.2.    These are the general terms of use of NTP Online Learning Limited, and if you do not accept these terms, you should not use our website, use services from NTP or enrol on any of our courses for training purposes.

We may need to review these terms from time to time, so you should check this page regularly. Once changes have been made, they will post on the website, and continued use of the site or training materials constitutes acceptance.

Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users and others who access or use the Service.

You agree to be bound by these Terms by accessing or using the Service. If you disagree with any part of the terms, then you may not access the Service.

2.       Quotations

2.1.    NTP provide free, no-obligation quotations via email upon request.

2.2.    Quotes are valid for 30 days unless advised otherwise in writing by NTP.

2.3.    Acceptance of a quotation constitutes an order. By placing an order with NTP Online Learning Ltd

you confirm that you have read, understood, and agree to be bound by these terms and conditions.

2.4.    Acceptance of a quotation is required by pressing the ‘accept’ button on the quotation document. An invoice will automatically be generated for payment. Term 3.7 will apply concerning course access.

2.5.    A quotation can be rejected by pressing the ‘reject’ button on the quotation document. Our team will follow up on any rejected quotations.

3.       Determining Student Suitability

3.1.    Details of any entry requirements or eligibility criteria will be provided clearly on the course description page so students/customers can determine for themselves before purchases whether they meet the requirements.

3.2.    It is the student/customer’s responsibility to comply with any course entry requirements. It is imperative that students/customers understand the level of proficiency necessary to pass the course.

3.3.    Should a student/customer not be deemed of sufficient standard to meet the necessary criteria, the Company accepts no liability for the failure of the course.

4.       Purchases

4.1.    You are encouraged to familiarise yourself with your rights contained within the Sale of Goods Act 1979, Unfair Contract Terms Act 1977 and the Unfair Terms in Consumer Contracts Regulations 1999.

4.2.    If you wish to purchase any product or service made available through the Service (“Purchase”), you may be asked to supply certain information relevant to your Purchase, including your credit card number, the expiration date of your credit card, your billing address, and your shipping information. Rest assured that none of your personal or payment details will be shared with any third party outside of those required for order processing, administration and training delivery – please see Privacy Policy for further information.

You represent and warrant that: (i) you have the legal right to use any credit card(s) or another payment method (s) in connection with any Purchase; and that (ii) the information you supply to us is true, correct and complete. You expressly agree that we, the company, are not responsible for any loss or damage arising from the submission of false or inaccurate information.

We reserve the right to refuse or cancel your order if fraud, an unauthorised or illegal transaction is suspected or default of payment on instalment options.

4.3.    We reserve the right to refuse or cancel your order at any time for certain reasons, including but not limited to product or service availability, errors in the description or price of the product or service, errors in your order or other reasons. You expressly agree that the company cannot accept any liability for loss or damage arising from such cancellation.

4.4.    All prices quoted are plus VAT at the current rate unless advised otherwise.

4.5.    Online courses allow 12 months of access included as standard. Course extensions can be applied within 1 month of access expiry using our extension subscription service.

4.6.    Courses can be paid for in full at the time of ordering, alternatively, eligible students/customers can choose to spread the total course over a set number of payments using a payment plan.

4.7.    A purchased course must be paid for in full. When placing an order with NTP you are agreeing to purchase the product and make full payment for it. This applies whether payment is made in full at the time of order or split payments are made using a fixed payment plan.

4.8.    No product or service will be considered purchased until the balance is paid in full.

4.9.    Where an order is placed and an invoice is requested, no course access will be granted until the balance is paid in full.

5.       Payment Plans

5.1.    NTP Online Learning Ltd students/customers can pay for their chosen course using a payment plan if they choose to. A payment plan allows the total price of the course to be spread over a set number of monthly payments.

·         On courses over £200 but under £1000 payment plans are available to split the cost over 2, 3 or 6 months.

·         On courses over £1000 payment plans are available to split the cost over 2, 3, 6 months.

5.2   Payment plans are optional and open to all students/ customers provided you have not previously defaulted on a payment plan with NTP.

5.3   All payment plans for courses are shown on the course page, and students/customers agree to pay these fees in full when enrolling on a course. This means that if a student/customer purchases a 6-month payment plan, then it must be paid for in full except where the purchase is eligible for cancellation and/or a refund.

5.4   Students/customers enrolled on a course and paying via a payment plan agree that the payments will be automatically debited from the credit or debit card used when placing the order.

5.5   All course payment plan options are shown on the course page or at checkout. Students/customers agree that when enrolling on a course and selecting to make payment using a payment plan it will be paid for in full as set out in clause 4.7 / 5.5. This means that if a student/customer purchases and uses a payment plan, then it must be paid in full except where the purchase is eligible for cancellation and/or a refund.

5.6   Students/customers must ensure funds are ready for collection on each month’s payment due date. The payment due date will be the same each month and is determined by the date a student/customer made the purchase.

For Example. A purchase made on the 28th of each month will have subsequent payments due on the 28th of each month for a set number of payments.

Payment will be automatically collected on each month’s instalment date until the payment plan is paid in full.

5.7   Failure to make payments in line with these terms will result in late payment action and set out in clause 5 – Late Payments / Non Payment

6. Late Payments / Non Payment

6.1. Should any payment plan instalment payment fail, NTP Online Learning Ltd has the right to charge an administration fee for any late payment processing required.

6.2. Where a student/customer payment has failed, they have 48 hours to contact NTP Online Learning Ltd. During this period, NTP Online Learning Ltd will make further attempts to take the failed payment. Course access will be revoked after 48 hours of the original failed payment plan instalment if no contact has been made or no payment has been received.

After course access is revoked, the student/customer will have seven further days to pay the overdue payment plan instalment amount. Should an instalment remain unpaid after this 7-day grace period, then the remainder of the instalments will become immediately payable. No access to the course will be granted until all the remaining instalment payments are made to NTP Online Learning Ltd in full.

6.3. If the original payment instalment still remains unpaid after 14 days from the date originally due, NTP Online Learning Ltd reserves the right to continue trying to collect the original payment due or the total of all remaining instalments. NTP Online Learning Ltd will charge a £20 administration fee for each attempt made to collect the overdue payment, up to a maximum of 3 attempts per calendar week.

6.3. NTP Online Learning Ltd has the right to instruct external agencies to collect owed fees from students/customers. As soon as the debt reaches the point of becoming payable in full, the case may be passed to our legal team to start debt recovery action. Should this happen, legal, late payment and debt recovery fees will be added to the remaining balance outstanding to cover our costs.

6.4. These terms bind you to make payment plan instalment payments as agreed at the time of purchase until the balance of the course(s) purchased through the payment plan are paid in full. This means that even if you choose not to continue the course, you are still required to make payment for the full amount of the course fee, including any fees for late collection, legal action and debt recovery.

6.5. Late Payment / Non-Payment Charges

7.       Legal Action

7.1.    NTP Online Learning Ltd will take legal debt recovery action in all cases where outstanding debt remains despite collection attempts as set out in clause 5 Late Payments / Non-Payment

7.2.    All legal action will be handled by our solicitors and debt recovery will be passed on to the defaulted student/customer. Once the debt has been passed to our solicitors students/customers should follow the instructions detailed in the correspondence from them and the courts.

7.2.1.       The debt recovery process is as follows:

Step 1 – Late payment demand/letter before action as applicable to case.

Step 2 – Court action taken against debtor

Step 3 – County Court Judgement (CCJ) issued to debtor

Step 4 – Recovery of monies using court enforcement, high court enforcement and bailiff action.

7.3   Should legal or debt recovery action be taken, NTP Online Learning Ltd will not reinstate course access again and will not provide any further service to the student/customer.

8.       Cancellations and Refunds

8.1.    All of our training materials come with a 14-day money-back offer. A refund request should be made within 14 days of enrolment and addressed to NTP Online Learning Limited’s office in writing, at which point we will refund the course fees minus an administration charge of £20 and minus the % of the course completion for online courses.

8.2.    Should a student/customer have accessed tutor support, accessed and/or downloaded any part of the online course, including documents such as study notes, had any assignments marked or accessed over 10% of the online materials provided, then a refund is not available, and NTP Online Learning Ltd reserves the right to refuse a refund in this case even within the 14 day refund period.

8.3.    Any paper-based materials provided on a course must be returned in their original condition without any modifications to receive a refund on any course. If these are not returned, then NTP Online Learning Ltd reserves the right to refuse a refund even within the 14-day refund period.

8.4.    After the 14-day cancellation period has expired, we, the company, have no obligation to return any monies paid for course materials or cancel any payment plans as per clause 3.7 / 5.5

9.       Termination by NTP

9.1.    We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.  Upon termination, your right to use the Service will immediately cease.

9.2.    All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.

9.3.    The Company deems plagiarism as being a very serious offence. Should the Company deem any submitted course material to be plagiarised, Students/customers accept that they are in breach of the Plagiarism Policy and are not entitled to continue their studies, receive any certification or request a refund.

10.   Accounts

10.1.    When you create an account with us, you must provide us with accurate, complete, and current information at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account on our Service.

10.2.   You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password, whether your password.

10.3.    You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorised use of your account.

10.4.    You may not use as a username the name of another person or entity or that is not lawfully available for use, a name or trade mark that is subject to any rights of another person or entity other than you without appropriate authorization, or a name that is otherwise offensive, vulgar or obscene. You expressly agree that we cannot be held liable for any loss or damage arising from any misrepresentations you make.

11.   Identity Verification

11.1.    NTP Online Learning Ltd requires all students/customers to verify their identity. We use Stripe Identity for identity verification. Stripe collects identity document images, facial images, ID numbers and addresses, advanced fraud signals, and information about the devices that connect to its services. S

Stripe shares this information with us and also uses this information to operate and improve the services it provides, including for fraud detection. You may also choose to allow Stripe to use your data to improve Stripe’s biometric verification technology. 12.   Change of Student/customer

12.1.   A change of student/customer enrolled on a course with NTP Online Learning Ltd is not permitted except in exceptional circumstances within 1 month of course enrollment at the sole discretion of NTP management.

12.2.   Any authorised change of student/customer will be subject to NTP change of student/customer fee of £100 plus registration and change of student/customer fees from our accredited examination board if the course comes under the scope of their accreditation.

13.   Course Access Extensions

13.1.   Course access extensions can be purchased within 1 month of the expiry date of the original course expiry date. After 1 month, you will not be eligible to take advantage of an extension and be required to purchase the course in full again.

13.2.   Extensions are purchased on an automatic rolling monthly contract. Students/customers can cancel the contract by emailing accounts@ntponlinelearning.co.uk and requesting the cancellation of their extension subscription. The contract will be cancelled, and access will remain until the next billing date. 30 days notice is required for cancellation.

13.3.  If an extension subscription payment fails, the subscription will be immediately cancelled and course access revoked. Students/customers must purchase another extension subscription within 1 month to reinstate course access and benefit from the monthly rolling contract. After 1-month students/customers will be required to purchase the course in full again.

14.   Live Training

14.1.  Any training that requires tutor contact will be delivered live by NTP instructors using virtual meeting software.

14.2.  Any order placed with NTP for live training must be paid for in full before delivery.

14.3.  Students / customers will receive confirmation of their scheduled training session. This will be delivered via email to the primary contact.

14.4.  Students / customers must provide identification documents and verify their identity before a training session.

14.5.   Students / customers must ensure they have the correct licence entitlement required to undertake training.

14.6.  Proof of training will be provided through a certificate of attendance or written letter after completion.

15.   Ask NTPs Experts Service

15.1.   We want to ensure that we provide the best service possible to our customers. Therefore, we kindly request that each order is limited to one question.

15.2.  We value your privacy and will treat every inquiry with the utmost confidentiality. We will only share your information with external parties if required to do so by UK legislation or a governing authority, such as the police. Rest assured that we will not disclose any student or customer details to anyone outside of the NTP group of companies.

15.3.   We are committed to responding to all questions within 24 hours during working hours. If we fail to do so, we offer a money-back guarantee. Please note that our guarantee applies only to questions asked through our Ask NTPs Experts service during working hours. If you submit a question outside of working hours, we will respond during the next working hours.

15.4.   To ensure that we can provide an accurate response, we require genuine details, such as your real name and email address. If you do not provide this information, we will not be able to answer your question..

15.5. Before any answers are sent NTP will send an email requesting permission to email and add student/customer to our mailing list.

15.6. The material and information provided by NTP as part of our Ask NTPs Expert service is for general information purposes only. You should not rely on material or information given to you by NTP as a basis for making any business, legal or any other decisions.

15.7. NTP recommend that you seek independent legal advice for your personal situation in all cases and contact the relevant governing bodies where applicable.

15.8. We strive to provide accurate and current information, but we cannot guarantee the completeness, reliability, or availability of the information, products, services, or related graphics provided for any purpose. Therefore, any reliance on such material is entirely at your own discretion and risk.

15.9. Please note that NTP cannot guarantee the accuracy, quality, validity, completeness, or suitability of the material provided for any specific purpose. It is important to acknowledge that the information provided may contain inaccuracies or errors. Therefore, NTP will not accept liability for any such inaccuracies and is not obligated to notify anyone of any errors.

15.10.   Please be informed that the information and guidance contained in NTP products and communications are solely for general informational purposes. NTP and its staff do not take any responsibility for any direct or indirect loss or damage arising from its utilization, including but not limited to loss of profits, revenue, data, or third-party claims. We strongly advise you to carefully evaluate the information provided and exercise good judgment when making decisions based on it.

15.11.  Occasionally, NTP may provide links to external websites for your convenience and informational purposes. Please be advised that these links do not imply any endorsement or affiliation with NTP. It is crucial to understand that NTP assumes no liability for the content or potential harm resulting from utilizing any linked website(s)..

15.12.  We must emphasize that copying any content from the NTP website or documents provided to you without prior written permission from NTP or the relevant copyright holder is strictly prohibited. This is in full compliance with the Copyright, Designs and Patents Act 1988, and any infringement will be dealt with severely. If you have any questions or concerns regarding the use of NTP’s content, contact us immediately for clarification and guidance. We require your full cooperation and understanding on this matter.

16.   Availability, Errors and Inaccuracies

16.1.  We are constantly updating our offerings of products and services on our site. The products or services available on our site may be mispriced, described inaccurately, or unavailable, and we may experience delays in updating information on the site and in our advertising on other websites.

16.2.  You expressly agree that any such offer of a product or service does not constitute a legal offer capable of attracting legal consequences.

16.3.  We cannot and do not guarantee the accuracy or completeness of any information, including prices, product images, specifications, availability, and services. We reserve the right to change or update information and to correct errors, inaccuracies, or omissions at any time without prior notice. Section “Availability, Errors and Inaccuracies” is without prejudice to existing statutory rights.

16.4.  When placing an order online using our self-checkout system, students/customers will receive login details to access their online training materials within 1 hour of purchase.

16.5.  Where an order is placed through invoice students /customers will be able to access the their training materials within 48 hours of the full balance payment being received by NTP Online Learning. Or where this falls outside of normal working hours, within 48 hours during working hours.

16.6.  The Company confirms that should any updates on course materials be necessary; these will be of the same high standard as the original course material.

16.7.   Within 48 hours of accessing course materials, any efficiencies or inaccuracies should be reported to the Company immediately. Complaints involving inaccuracies will not be accepted after this time.

16.8.  Should the Company be unable to provide training materials and support after purchase, a full refund will be given.

16.9.  Printed course materials will be dispatched 14 days after enrolling in an online training course. The printed materials will be dispatched to the address provided on the original order.

16.10.  The training material is the property of NTP Online Learning Ltd. This training material has been prepared, maintained, updated and distributed by NTP Online Learning. The use of the training material on our courses is restricted to the Registered User who has been supplied with the login details by a Training Services Provider as part of an authorised course.

16.11.  The Registered User shall not copy, share, modify, transmit, distribute, or in any way exploit the copyrighted materials provided by NTP Online Learning Ltd other than for their own individual training. Use for any other purpose is expressly prohibited by law, and any violators will be prosecuted. The Registered User shall not permit anyone else to copy, use, modify, transmit, distribute, or in any way exploit the copyrighted materials.

16.12.   The materials made available by NTP Online Learning Ltd are provided “as-is” without warranties of any kind, either expressed, or implied, including, but not limited to, all implied warranties of merchantability, fitness for a particular purpose, title or non-infringement.

16.13.   NTP Online Learning Ltd does not warrant that the materials will be error-free, including technical inaccuracies, nor free of viruses or other harmful matter.The entire cost of any necessary service, repair, or correction, is the Registered User’s responsibility. NTP Online Learning Ltd may make improvements, or changes, to this material at any time without prior notification.

16.14.  All rights not expressly granted herein are reserved. These Terms and Conditions shall be governed by and construed in accordance with the laws of England and Wales. If you do not agree with these Terms and Conditions you must cease to use the e-learning immediately.

17.   Examinations

17.1.    NTP Online Learning Ltd is a registered learning partner of CILT (Chartered Institute of Logistics and Transport) and is permitted to carry out examinations on behalf of CILT.

17.2.  All students/customers registering on courses where CILT-approved examinations are required to be undertaken to gain a recognised qualification will be charged a student/customer registration fee and examination fees for any exams a student/customer must take.

17.3.  Examination fees are payable before any examinations take place and by the deadlines issued by NTP Online Learning Ltd. Exam fees are non-transferable and non-refundable.

17.4.  Should the examination board (CILT) move, change, or cancel examination dates they will carry over monies paid for examinations to the new date.

17.5.   Should a student/customer wish to cancel, change, or move an examination date, they must pay the examination fees again.

17.6.   Only eligible students/customers that meet NTP Online Learning Ltd’s eligibility criteria will be permitted to take examinations. The eligibility criteria is provided to all students/customers within the course.

17.7.    Students/customers who book onto exams who do not meet the eligibility criteria will have their examination bookings cancelled and will be charged an administration fee of £25.

17.8.   The final decision on students/customers’ eligibility rests with NTP Online Learning Ltd’s head of training. Students/customers can appeal the decision by contacting student support and speaking with the Head of Training on 01406 424500. They can also email studentsupport@ntponlinelearning.co.uk

17.9   NTP Online Learning Ltd witholds the right to keep any purchased exams funds if the course is not completed within the allocated 12 month course access unless you have chosen to extend on a 30 day monthly rolling contract. 

18.   Access to the courses

18.1.  NTP Online Learning Ltd strives to continuously provide course content to its Students/customers for the period of access specified at the time of purchase. To that end, NTP Online Learning Ltd will take all commercially reasonable efforts to provide uninterrupted Access of the courses to its Students/customers.

However, sometimes, students/customers may be unable to Access the courses due to conditions beyond NTP Online Learning Ltd’s control. Such conditions include, but are not limited to: force majeure, acts of God, power outages, and the acts of computer hackers and others acting outside the law. Also, from time to time, Access may be unavailable due to software issues, server downtime, increased Internet traffic or downtime, programming errors, regular maintenance of the system, and other related reasons.

18.2.  In response to any unavailability of the courses to its Students/customers, NTP Online Learning Ltd will take all commercially reasonable steps to ensure Access is restored within a reasonable period of time. The term “commercially reasonable,” as used in these Terms, shall mean reasonable efforts taken in good faith without an unduly or burdensome use or expenditure of time, resources, personnel or money.

18.3.  NTP Online Learning Ltd endeavours to provide the highest quality content to its Students/customers. To that end, NTP Online Learning Ltd reserves the right, in its sole discretion, to change, modify, or discontinue any aspect or feature of this Site in whole or in part, including, without limitation, the content, availability, Access and/or the Terms of this Site. Such changes, modifications, additions or deletions will be effective immediately upon notice thereof, which notice may be made by posting such changes on this Site.

18.4.  Users are solely responsible for ensuring that they have sufficient and compatible hardware, software, telecommunications equipment and Internet service necessary for use of the Site.

18.5.  Course access will end once the purchased period of access comes to an end. i.e. at the end of 12 months of access.

18.6.   Course access will be revoked immediately should a student/customer transfer to another training provider deemed to be a competitor of NTP Online Learning Ltd.

18.7.  A student/customer transfer fee may apply where students/customers are required to de-register from the NTP Online Learning Ltd centre and register as a new student/customer elsewhere.  

19.   Intellectual Property

19.1.  The Services/products and its original content, features and functionality are and will remain the exclusive property of the Company.

19.2.  The Service is protected by copyright, trademark, and other laws of both the United Kingdom and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of the Company. Any copying of course materials or adaptation is strictly prohibited without the Company’s prior permission.

All logos and names of NTP Online Learning Ltd have registered trademarks; details of these trademarks can be found by searching the trademarks register.

20.   Links To Other Web Sites

20.1.  Our Service may contain links to third-party websites or services that are not owned or controlled by the Company.

The Company has no control over and assumes no responsibility for the content, privacy policies, or practices of any third-party websites or services. You further acknowledge and agree that the Company shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such web sites or services.

We strongly advise you to read the terms and conditions and privacy policies of any third-party websites or services that you visit.

20.2.  NTP Online Learning Ltd makes no warranty, either expressed or implied, of the accuracy, merchantability, fitness for a particular purpose, or non-infringement of the information provided by third parties. This includes, but is not limited to, any information found on a link located on this site that allows users to access information found on another site. Additionally, NTP Online Learning Ltd does not warrant the existence or functionality of any website which can be accessed through a link located on this site.

20.3.  Copyrights, Trademarks and Other Proprietary Rights. NTP Online Learning Ltd or its third-party content providers shall retain all worldwide rights in the intellectual property in and on the Site, including, but not limited to, trademarks, service marks, trade dress, inventions, ideas, trade secrets, the source code, the HTML code, the “look and feel” of the Site, its colour combinations, layout, and all other graphical elements, and the copyrights in and to its original content. You should assume that everything you read or see on the Site is copyrighted, trademarked, or otherwise protected and owned or licensed by NTP Online Learning Ltd.

20.4.  Except as expressly stated on the Site or in these Terms, nothing that You read or see on the Site or in the courses may be copied, reproduced, modified, distributed, transmitted, republished, displayed or performed for commercial use without the prior written consent of NTP Online Learning Ltd, except as provided in these Terms. Nothing in these Terms grants you an express or implied license to use any of NTP Online Learning Ltd intellectual property.

21.   Indemnification

21.1. You agree to defend, indemnify and hold harmless the Company and their employees, assessors, agents, officers and directors from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to lawyers fees), resulting from or arising out of a) your use and access of the Service, by you or any person using your account and password, or b) a breach of these Terms.

22.   Disclaimer and Limitation Of Liability

22.1.   In no event shall the Company, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (I) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement or course of performance.

22.3.  The Company its subsidiaries, affiliates, and its licensors do not warrant that a) the Service will function uninterrupted, secure or available at any particular time or location; b) any errors or defects will be corrected; c) the Service is free of viruses or other harmful components; or d) the results of using the Service will meet your requirements.

The site is provided on an “as is, as available” basis without warranty of any kind, expressed, implied or statutory, and any and all warranties of merchantability, fitness for a particular purpose or non-infringement of third parties’ rights are specifically disclaimed. NTP Online Learning Ltd does not warrant any particular result from use of the software or site. NTP Online Learning Ltd does not warrant that the information on the site is accurate, complete or complies with any particular law or regulation, or that the operation of and your access to the site will be uninterrupted, error-free, virus-free or completely secure.

22.5.  Under no circumstances and under no legal theory (tort, contractor otherwise) shall NTP Online Learning Ltd or any of its affiliates, agents, employees, shareholders, directors, officers, third party content providers, successors or assigns be liable to you or any other person or entity for any indirect, special, incidental, punitive or consequential damages of any character, including without limitation, damages for loss of goodwill, work stoppage, computer failure or malfunction, loss of data, loss of productivity or contract, or any and all other commercial damages or losses.

22.6.  Your use of this site is at your sole risk and any content that you download is downloaded at your own discretion and risk, and you are solely responsible for any damage to your computer system in excess of the amount NTP Online Learning Ltd received from students/customers for a course, and for any loss of data that results from the downloading of any such content, including any damages resulting from computer viruses.

22.7.   In no event will NTP Online Learning Ltd be liable for any damages in excess of the amount NTP Online Learning Ltd received from the student/customer for access to a course, even if NTP Online Learning Ltd have been informed of the possibility of such damages, or for any claim by any other party.

22.8.  In no event will warranties provided by law, if any, apply unless they are required to apply by statute notwithstanding their exclusion by contract.

22.9.  This disclaimer is applicable to any damage or injury resulting from the negligence or an omission of NTP Online Learning Ltd, computer virus or other similar item, telecommunications errors, or unauthorized access to or use of user information through theft or any other means. NTP ONLINE LEARNING LTD is not liable for criminal, tortious, or negligent actions or omissions of third parties that affect this site.

23.   Severance

23.1.   Should a court of Law or authority with jurisdiction find any parts of this Agreement to be invalid, illegal or unenforceable, then this section or sections to the extent required is deemed not to form part of the said Agreement. Should this occur, the validity of the remaining parts of the Agreement shall not be affected.

23.2.  In the case that a section or sections of the Agreement are found to be invalid, illegal or unenforceable the provision shall apply with any modification the Company deems necessary to ensure that it is valid, legal and enforceable.

24.   Exclusions

24.1.  Without limiting the generality of the foregoing and notwithstanding any other provision of these terms, under no circumstances will the Company ever be liable to you or any other person for any indirect, incidental, consequential, special, punitive or exemplary loss or damage arising from, connected with, or relating to your use of the Service, these Terms, the subject matter of these Terms, the termination of these Terms or otherwise, including but not limited to personal injury, loss of data, business, markets, savings, income, profits, use, production, reputation or goodwill, anticipated or otherwise, or economic loss, under any theory of liability (whether in contract, tort, strict liability or any other theory or law or equity), regardless of any negligence or other fault or wrongdoing (including without limitation gross negligence and fundamental breach) by the Company or any person for whom the Company is responsible, and even if the Company has been advised of the possibility of such loss or damage being incurred.

25.   Governing Law

25.1.  These Terms shall be governed and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.

25.2.  Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

25.3.  If any provision of these terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

25.4.  These Terms constitute the entire agreement between us regarding our Service, and supersede and replace any prior agreements we might have between us regarding the Service.

25.5.  The Company reserve the right to change Awarding Bodies during the period of enrolment, should this be necessary. In this case, certification at the same level as the one described when you purchased the course will be received by Students/customers.

26.   Changes to Terms

26.1.  At our sole discretion, we reserve the right to modify or replace these Terms at any time.

26.2.  If a revision is material we will try to provide at least 15 days notice prior to any new terms taking effect. What constitutes a material change will be determined at the Company’s sole discretion.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. You must stop using the service if you do not agree to the new terms.
